TERMS AND CONDITIONS FOR USE OF SERVICES

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY AS THEY GOVERN YOUR USE OF THE SERVICES (AS DESCRIBED BELOW)

These terms and conditions (“Terms”) govern your (hereinafter “you” or “your”) (i) use of our mobile application (“App”) following your registration for a User Account (if applicable), and (ii) rental of our shared electric bikes (“e-bikes”) and shared electric scooters (“e-scooters”) (collectively “Vehicle(s)”) provided by TIER Operations Limited, with registered office at c/o WeWork, 1 Mark Square, EC2A 4EG, United Kingdom  (hereafter referred to as: “we”, “our” or “us”) via the App or via a third party platform authorised by Us (“Third Party Platform”) from time to time (collectively “Services”). Subject to these Terms, you and Us enter into a contract for the usage of the App, including the User Account (“App Agreement“) and into separate contracts for each use of a Vehicle (“Individual Rental Agreements“). If you rent a Vehicle through a Third Party Platform, all of these Terms shall apply to your use of our Services except for sections 1 and 5 below. You will also be subject to the Third Party Platform’s terms and conditions in addition and without prejudice to these Terms.

DURING THE REGISTRATION PROCESS FOR OUR APP AND WHEN UNLOCKING A VEHICLE FOR USE VIA THE APP OR VIA A THIRD PARTY PLATFORM YOU MUST AGREE TO THESE TERMS. WE ONLY ALLOW YOU TO USE THE SERVICES IF YOU ACCEPT THESE TERMS SO DO NOT MAKE USE OF THE SERVICES IF YOU DO NOT AGREE TO THESE TERMS. FEES, INSURANCE, MAIN TERMS AND SPECIAL TERMS ARE AN INTEGRAL AND SUBSTANTIAL PART OF THESE TERMS.

These Terms refer to the following additional terms, which also apply to your use of some or all Services:

• The main terms of our insurance policies are available at: https://ridedott.com/insurance (“Insurance Policies”).

If you use the Services while in a country other than the United Kingdom, the Services are offered by one of ours affiliates located in such other country. In this case, you will enter into an App Agreement (if applicable) and into the Individual Rental Agreements with such local affiliates based on the country-specific Terms and Conditions. Such country-specific Terms and Conditions are available here (https://ridedott.com/terms) and identify the respective local affiliate as your contracting party.

TERMS APPLICABLE TO YOUR USE OF THE SERVICES
You must have the requisite mental and legal capacity to use our Services and you must be: (i) with respect to the use of e-scooters, at least 18 years of age; and (ii) with respect to the use of e-bikes, at least 16 years of age.

1. YOUR USER ACCOUNT
   You must register for a user account through the App (“User Account”). You may only register for a User Account if you are at least 16 years of age. A User Account must be created via the App. Your User Account is personal to you and you will ensure that it is kept secure and not shared with or used by anyone else. You are responsible for all loss and damage arising from your disclosure of your User Account information, or any electronic threats, attacks or fraudulent activity resulting from your failure to safeguard the security of your User Account. You must immediately report any suspicions of unauthorized access to your User Account to: support@ridedott.com.

2. USE OF VEHICLES
   Via your User Account you can rent a Vehicle based on an Individual Rental Agreement as follows: In your User Account you can identify any available Vehicles and unlock such Vehicles for usage. When you unlock the Vehicle in your User Account to start a ride, you enter into an Individual Rental Agreement with us for the use of such specific Vehicle.

Starting and Ending a Ride: A ride starts from the moment you “unlock” a Vehicle in the App and ends as soon as you select the “end ride” option in the App thereby locking the Vehicle again.

Age and Capacity: To rent e-scooters, you must be at least 18 years old, and to rent e-bikes, you must be at least 16 years old. Users under 18 may access the Services with the consent from a parent or legal guardian.

Safety First: Prior to using the Vehicle we recommend you inspect the Vehicle for damage (including checking the frame, deck, kick stand, tires, lights and display) and test the brakes and throttle. We recommend you wear a helmet and we require that you use helmets in all countries and cities where they are legally required for operation of the Vehicles.

Compliance with Laws: You are obliged to conduct yourself in compliance with all applicable laws and regulations, including laws and regulations relating to the use of the Vehicles and all traffic rules. Failure to comply with this requirement may result in fines, penalties and termination of your User Account.

3. INSURANCE
   We will maintain all insurance required to operate our Services under local laws, such as third-party liability insurance to cover your liability for accidental physical injury to third parties or accidental damage to the physical property of third parties arising from your use of the Vehicles.

4. FEES, CHARGES AND PAYMENT
   Fees
   The fees for the use of our Vehicles are charged on a pay per use basis. Each time you wish to use a Vehicle you may be charged an unlock fee in addition to use fees.

Payment
Payment may be made by the credit or debit card you loaded in order to register for a User Account or by any other payment method permitted by us or by the Third Party Platform.

5. INTELLECTUAL PROPERTY
   As part of the App Agreement, we grant you a personal, limited, royalty-free, non-exclusive, revocable and non-transferable, license to download and use our App solely to enable you to use the Services and for non-commercial purposes.

6. LIMITATION OF LIABILITY
   SUBJECT TO THIS CLAUSE, WE SHALL BE RESPONSIBLE TO YOU FOR LOSS OR DAMAGE YOU SUFFER THAT IS A FORESEEABLE RESULT OF US BREAKING THESE TERMS OR US FAILING TO USE REASONABLE CARE AND SKILL UP TO A MAXIMUM OF (I) THE AMOUNT PAID TO US IN RESPECT OF THE SERVICES, OR (II) £50 (WHICHEVER IS GREATER).

7. INDEMNIFICATION
   YOU AGREE TO INDEMNIFY, DEFEND AND HOLD US HARMLESS, FROM AND AGAINST ALL FINES, PENALTIES, CLAIMS, ACTIONS, LIABILITIES, LOSSES, EXPENSES, DAMAGES AND COSTS ARISING, DIRECTLY OR INDIRECTLY, OUT OF OR RELATED TO, AND ATTRIBUTABLE TO YOUR NEGLIGENT OR WILLFUL MISUSE OF THE SERVICES.

8. TERMINATION
   Both parties (you and us) have the right to terminate the App Agreement at any time subject to a prior notice.

9. MODIFICATIONS
   WE MAY AMEND THESE TERMS FROM TIME TO TIME, INCLUDING APPLICABLE FEES AND INSURANCE POLICIES.

10. FORCE MAJEURE
    We shall not be responsible for any loss, damage, default or failure which is caused by occurrences outside of our control including, connectivity failures, power outages, riots, fire, flood, windstorm, explosion, epidemics, pandemics, a state of epidemic or pandemic emergency.

11. GOVERNING LAW AND JURISDICTION
    These Terms, the App Agreement and the Individual Rental Agreements are solely governed by the laws of England and Wales.

12. GENERAL
    To the extent that any provision of these Terms is found by any court or competent authority to be invalid, unlawful or unenforceable that provision shall be struck out of these Terms, and the remainder of the Terms which shall continue to be valid and enforceable to the fullest extent permitted by law.

GROUP RIDES TERMS In some cities, we offer you the option to simultaneously rent multiple Vehicles through your User Account and allow other individuals (“Group Rider“) to use them together in a joint ride (“Group Ride“).

1. AVAILABILITY: Group Rides are subject to availability.

2. HOST’S RESPONSIBILITIES: The Group Ride must be started through your User Account and can only be ended after all Vehicles are properly parked.

3. LIABILITY AND COSTS: In your quality as Host, you are fully responsible for all Fines, fees, penalties, and other costs related to a Group Rider’s use of the Services during Group Rides.

4. INDEMNIFICATION: SUBJECT TO CLAUSE 6 OF THE GENERAL TERMS, YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD US HARMLESS.

5. REPORTING ACCIDENTS AND DAMAGES: You must report any damages, accidents, personal injuries, defective Vehicles, stolen or lost Vehicles in the context of a Group Ride immediately as instructed under Section 2 of the General Terms.
