# Terms & Conditions

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY AS THEY GOVERN YOUR USE OF THE SERVICES (AS DESCRIBED BELOW).

These terms and conditions (“ **Terms**”) govern your (hereinafter “ **you**” or “ **your**”) (i) use of our mobile application (“ **App**”) following your registration for a User Account (if applicable), and (ii) rental of our shared electric bikes (“ **e-bikes**”), shared electric scooters (“ **e-scooters**”) and classic bicycles (“BIKES”) (collectively “ **Vehicle(s)**”) provided by TIER Mobility Netherlands B.V. with registered office at Hullenbergweg 278 1101 BV, Amsterdam, Netherlands (hereafter referred to as:  “ **we**”, “ **our**” or “ **us**”) via the App or via a third party platform authorized by us (“ **Third Party Platform**”) from time to time (collectively “ **Services**”).

Subject to these Terms, you and us enter into a contract for the usage of the App, including the User Account (“ **App Agreement**“) and into separate contracts for each use of a Vehicle (“ **Individual Rental Agreements**“). If you rent a Vehicle through a Third Party Platform, all of these Terms shall apply to your use of our Services except for sections 1 and 6 below.

DURING THE REGISTRATION PROCESS FOR OUR APP AND WHEN UNLOCKING A VEHICLE FOR USE VIA THE APP OR VIA A THIRD PARTY PLATFORM YOU MUST AGREE TO THESE TERMS. WE ONLY ALLOW YOU TO USE THE SERVICES IF YOU ACCEPT THESE TERMS SO DO NOT MAKE USE OF THE SERVICES IF YOU DO NOT AGREE TO THESE TERMS. FEES, INSURANCE, MAIN TERMS AND SPECIAL TERMS ARE AN INTEGRAL AND SUBSTANTIAL PART OF THESE TERMS.

**THERE ARE OTHER TERMS WHICH MAY APPLY TO YOU:**  
These Terms refer to the following additional terms, which also apply to your use of some or all Services:

- If you use the Services while in a country other than the Netherlands, the Services are offered by one of our affiliates located in such other country.

## TERMS APPLICABLE TO YOUR USE OF THE SERVICES

1. **YOUR USER ACCOUNT**  
You must register for a user account through the App (“ **User Account**”) on your mobile device before any use of our App and in order to hire Vehicles via our App. In order to set up your User Account the App will prompt you to provide (i) certain information about yourself (all fields indicated as mandatory must be completed), and (ii) a method of payment.

Your User Account is personal to you and you will ensure that it is kept secure and not shared with or used by anyone else.

2. **USE OF VEHICLES**

You can rent a Vehicle based on an Individual Rental Agreement. In your User Account, you can identify any available Vehicles and unlock such Vehicles for usage.

### Starting and Ending a Ride  
A ride starts when you “unlock” a Vehicle in the App. Upon ending a ride, you must park the Vehicle in accordance with our parking instructions.

### Age and Capacity  
You must be at least 18 years old and have a valid and unexpired driver’s license when required by local laws.

### Safety First  
Prior to using the Vehicle, inspect it for damage and test the brakes and throttle.

### Compliance with Laws  
You must comply with all applicable laws and regulations.

### Availability  
Our Services may not be available 24/7 due to maintenance or upgrades.

### Sole User  
When you unlock a Vehicle you must be the sole user of such Vehicle.

3. **INSURANCE**  
We will maintain all insurance required to operate our Services under local laws.

4. **FEES, CHARGES AND PAYMENT**
**Fees**  
Fees for the use of our Vehicles are charged on a pay-per-use basis and are disclosed in your User Account.

**Payment**  
Payment may be made through the card you provided when registering or by any other payment method permitted.

5. **INTELLECTUAL PROPERTY**  
We grant you a limited, non-exclusive, revocable license to use our App solely to enable you to use the Services.

6. **LIMITATION OF LIABILITY**  
Our liability for damages caused by slight negligence is limited.

7. **INDEMNIFICATION**  
You agree to indemnify us against all expenses that arise from your misuse of the Services.

8. **TERMINATION**  
Both parties have the right to terminate the App Agreement at any time.

9. **MODIFICATIONS**  
We may amend these Terms from time to time and will notify you of any material changes.

10. **FORCE MAJEURE**  
We shall not be responsible for losses caused by events outside of our control.

11. **GOVERNING LAW AND JURISDICTION**  
These Terms are governed by the laws of the Netherlands.

**GROUP RIDES TERMS**

In some cities, we offer the option to rent multiple Vehicles through your User Account (“ **Group Ride**“).

1. **AVAILABILITY**  
Group Rides are subject to availability and are only offered for certain Vehicles.

2. **HOST’S RESPONSIBILITIES**  
The Host must ensure all safety measures are communicated and that every Group Rider is familiar with the Terms.

3. **LIABILITY AND COSTS**  
The Host is responsible for all costs related to a Group Rider’s use of the Services.

4. **INDEMNIFICATION**  
Hosts agree to indemnify us against all claims related to Group Rides.

5. **REPORTING ACCIDENTS AND DAMAGES**  
You must report any damages immediately via email or through the App.
